Parent Advisory Council executive. Candidates for the board of directors shall be a parent of a child in the K- 1. Members of the Board of Directors who have completed their term of office are eligible for re- election provided they meet the criteria for nomination and conform to Bylaw 5. No members of the Board shall be an employee or an elected official of any school district or of the Ministry of Education. Procedure of Elections. Annual general meetings in which the Board is to be elected will be conducted efficiently and with fairness to the members present. Nominations. 5. 1. The Board shall appoint a Nominations Committee prior to the annual general meeting. there. The Nominations Committee shall ensure that notice for nominations is distributed to all Regular Members in good standing at least 1.The Nominations Committee shall receive nominations for the Board of Directors until 6.A member of the Board who is in the first year of their term and who wishes to run for a different position (i.First Vice- President running for President) shall be permitted to do so without resigning or taking a leave of absence.If the Board member is successful in their campaign then a new Board member to fill the vacated position shall be elected or appointed as per Section 5.If the person is unsuccessful in their campaign they shall continue in their position for the remainder of their term. Term of Office. 5. Outgoing members of the Board shall hold office and represent the Society for thirty days after the annual general meeting in order to facilitate the change and orientation of new Board Members. The President, the First Vice- President, the Second Vice- President and the Special Advisor(s), if any, shall not hold their respective offices for more than two consecutive terms. The Secretary and Treasurer shall hold office until their respective successors are elected or appointed, whether or not they are Directors. Any Board Member whose child leaves the public school system in the year in which the Board Member is elected will be permitted to serve the remaining portion of the first year of their term and then must resign. At the annual general meeting, an election will be held to fill the newly vacated position for the remainder of the term. Immediate Past President. The Immediate Past- President shall be an ex officio member of the Board, entitled to notice of, attend and speak at, but not vote at, Board meetings; and the term of office shall be no longer than two years. Special Advisor. 5. Following each annual general meeting the Board may appoint one or more Special Advisor(s) who may attend and speak at, but not vote at, Board meetings. Vacancy in Board of Directors. If there is any vacancy in the Board for any reason, the remaining Board members shall appoint a person who is a member of a member Parent Advisory Council in good standing and who is nominated by that Parent Advisory Council as a member of the Board to fill the vacancy. The term of the Board member so appointed will end when the original term would have ended. (b) If three or more vacancies in the Board arise at the same time more than 1. Board members shall call for a by- election to fill the vacancies. The by- election shall be conducted by a special mail out to all voting members calling for nominations, followed by voting by fax or surface mail in a timely manner to be determined by the Board. Office to be Vacated. The following are grounds for termination of the office of any Board member: is a member of a Parent Advisory Council who ceases to be a member of the Society; is absent from two consecutive meetings of the Board without prior written consent of the President; is found to be incapable of managing his or her own affairs by reason of mental infirmity; is convicted of a criminal offence or other serious offence; orfails to observe the constitution and bylaws, purposes, or policies of the Society. The decision to terminate a Board member's position for reasons set out in section 5. Board meeting attended by not less than 8. Board, excluding the Board member in question. (b) Such action to terminate the Board member's position shall require a 1. Board member in question prior to the Board meeting. Removal of Board Member by Members 5. The members may by special resolution remove a Board member before the expiration of his term of office, and may elect a successor to complete the term of office. Remuneration. 5. 2. At no time shall remuneration be paid to directors or officers for their services to the Society. The members of the Board shall be reimbursed for all expenses necessarily and reasonably incurred by them while engaged in the affairs of the Society. Powers of the Board of Directors 5. The members of the Board as a whole may exercise all the powers and do all the acts and things that the Society may exercise and do, and which are not by these Bylaws or statute or otherwise lawfully directed or required to be exercised or done by the Society in general meeting, but subject, nevertheless, to: all laws affecting the Society; these Bylaws; and rules, not being inconsistent with these Bylaws, which are made from time to time by the Society in general meeting. 5. Aircraft; or(iii) Railroad locomotives, railroad freight cars, railroad cabooses, commuter or intercity passenger rail cars (including coaches, dining cars, sleeping cars, lounge cars, and food service cars), any other railroad cars described in section 2. Act or covered under title II of the Act, or railroad rights- of- way. For purposes of this definition, "rail'' and "railroad'' have the meaning given the term "railroad'' in section 2. Current illegal use of drugs means illegal use of drugs that occurred recently enough to justify a reasonable belief that a person's drug use is current or that continuing use is a real and ongoing problem.
